1. Acceptance of Terms

By accessing or using the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms, and you agree to comply with them and with all applicable laws. If you are using the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Purpose of the Site & No Advice

The Site is provided for general informational purposes about Tollstam Capital and its corporate finance and M&A advisory services. The information on the Site:

• does not constitute investment, financial, legal, tax, accounting, or other professional advice;
• is not a recommendation to enter into, or refrain from entering into, any transaction; and
• is not a substitute for the professional advice of qualified advisors who are familiar with your particular circumstances.

Advisory services are provided only pursuant to a separate written engagement agreement between Tollstam Capital and the client. No advisor-client relationship is created by visiting the Site or by sending us a message through the contact form or otherwise.

3. No Offer or Solicitation

Nothing on the Site constitutes an offer to buy or sell, or a solicitation of an offer to buy or sell, any security, financial instrument, or other product or service, in any jurisdiction where such an offer or solicitation would be unlawful. Information on the Site is not directed at persons in any jurisdiction where its publication or availability would be contrary to local laws or regulations.

The Site may contain forward-looking statements regarding our business or industry. Forward-looking statements involve known and unknown risks and uncertainties, and actual results may differ materially from those expressed or implied.

The name "Tollstam Capital Group", "Groupe Capital Tollstam", any associated logos and slogans, and other marks displayed on the Site are trademarks of Tollstam Capital or its affiliates. You may not use any such marks without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for the purposes described in Section 4. All rights not expressly granted are reserved.

6. Submissions & Communications

If you submit information to us through the contact form, by email, or otherwise, you confirm that the information is accurate and that you have the right to provide it to us. Unless we have entered into a written confidentiality agreement, you should not provide us with confidential or sensitive information through the Site or by email.

To the extent permitted by applicable law, you grant us a non-exclusive, royalty-free license to use any non-personal feedback, comments, or suggestions you provide to us, for any purpose, without obligation to you. Personal information will be handled in accordance with our Privacy Policy.

7. Third-Party Links & Content

The Site may contain links to third-party websites or resources that are not owned or controlled by Tollstam Capital. We provide these links only as a convenience and do not endorse, and are not responsible for, the content, accuracy, policies, or practices of any third-party site. Your use of any third-party site is at your own risk and subject to the terms of that site.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its contents are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, or uninterrupted operation. We do not warrant that the Site will be free from errors, viruses, or other harmful components, or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Tollstam Capital, its affiliates, or their respective directors, officers, employees, agents, or representatives be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Site or its contents, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to these Terms or your use of the Site shall not exceed one hundred Canadian dollars (CAD $100). Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

10. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Tollstam Capital, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of any third party.

11. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to the Site or Terms

We may modify, suspend, or discontinue all or any part of the Site at any time, with or without notice. We may also update these Terms from time to time. The updated Terms will be effective when posted on the Site, and the "Last updated" date will be revised accordingly. Your continued use of the Site after such posting constitutes your acceptance of the updated Terms.

13. Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in the judicial district of Montreal, Province of Quebec, in respect of any such dispute, except where mandatory consumer protection laws or other applicable laws require otherwise.

14. Language

The parties have expressly required that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que la présente entente et tous les documents qui s'y rapportent soient rédigés en anglais. A French version of these Terms is also available here for convenience. In the event of any inconsistency between the English and French versions, the English version shall prevail, except where applicable law requires the French version to prevail.

15. General

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision. These Terms constitute the entire agreement between you and Tollstam Capital regarding your use of the Site.
